Each of the finders is at\narm's length to the Company.\n\nAll securities issued under the Offering are subject to a statutory hold\nperiod of four months and a day from the date of issuance, expiring December\n15, 2026.\n\nOne insider of the Company subscribed for an aggregate of 850,000 common\nshares under the Offering for aggregate proceeds of $68,000. The participation\nof the insider in the Offering constitutes a \"related party transaction\"\nwithin the meaning of Multilateral Instrument 61-101 - Protection of Minority\nSecurity Holders in Special Transactions (\"MI 61-101\"). The Company is relying\non the exemptions from the formal valuation and minority shareholder approval\nrequirements of MI 61-101 contained in section 5.5(b) and section 5.7(1)(a) of\nMI 61-101, respectively, on the basis that the Company is a NEX Issuer and no\nsecurities of the Company are listed or quoted on any of the specified markets\nreferred to in section 5.5(b), and that neither the fair market value of the\nsecurities issued to, nor the consideration paid by, the insider exceeds 25%\nof the Company's market capitalization.
