Under the entire Offering, the Company issued\na total of 35,714,142 Units at $0.07 per Unit for gross proceeds of\n$2,499,989.94.\n\nEach Unit consists of one common share of the Company and one Common Share\npurchase warrant (each, a “Warrant”). Each Warrant will entitle the holder\nto purchase one additional Common Share at an exercise price of $0.09 for a\nperiod of two years from the closing date, subject to the Company’s right to\naccelerate (the “Acceleration Right”) the expiry date of the Warrants if,\nfollowing the expiry of the applicable hold period, the 20-day volume-weighted\naverage trading price of the Company’s common shares on the Exchange equals\nor exceeds $0.18, by providing notice to Warrant holders and press release, in\nwhich case the Warrants will expire 30 days following the date of such notice.\n\nCharles Hethey, a director of the Company subscribed for, indirectly through a\ncorporation of which he has control, 300,000 Units under the Second Tranche.\nMr. Hethey’s participation is considered to be a “related party\ntransaction” as defined under Multilateral Instrument 61-101 – Protection\nof Minority Security Holders in Special Transactions (“MI 61-101”). The\nCompany relied on the exemptions from the formal valuation and minority\nshareholder approval requirements provided under sections 5.5(a) and 5.7(a) of\nMI 61-101 on the basis that the participation in the Offering by Mr. Hethey\nwill not exceed 25% of the fair market value of the Company’s market\ncapitalization.\n\nIn connection to the Second Tranche, the Company paid total finders fee of\n$4,256.42 and issued a total of 60,805 non-transferable share purchase\nwarrants to finders (the “Finder Warrants”).
