Under the NCIB, the Corporation may purchase for\ncancellation up to 3,173,127 common shares of the Corporation (the \"Shares\").\nAs at September 2, 2026, MAXIM had 63,462,546 Shares issued and outstanding.\nAs such, the NCIB represents approximately 5% of MAXIM's issued and\noutstanding Shares as at September 2, 2026. The actual number of Shares that\nmay be purchased for cancellation under the NCIB and the timing of any such\npurchases will be determined by MAXIM, subject to a maximum daily purchase\nlimitation of 2,389 Shares, which equates to 25% of MAXIM's average daily\ntrading volume of 9,557 Shares for the six months ended August 31, 2026. The\nCorporation may make one block purchase per calendar week which exceeds the\ndaily repurchase restrictions.\n\nThe NCIB will commence on September 16, 2026 and may continue to September\n15, 2027 or such earlier time as the NCIB is completed or terminated at the\noption of MAXIM. The Shares will be purchased on behalf of the Corporation by\na registered broker through the facilities of the TSX and/or alternative\nCanadian trading systems at the prevailing market price at the time of such\ntransaction. Purchases under the NCIB will be made in accordance with the\nrequirements of the TSX.\n\nIn connection with the NCIB, MAXIM intends to enter into an automatic share\npurchase plan (the \"ASPP\") effective September 16, 2026 with its designated\nbroker to allow for the purchase of Shares under the NCIB at times when MAXIM\nnormally would not be active in the market due to internal trading black-out\nperiods. Before the commencement of any particular internal trading black-out\nperiod, MAXIM may, but is not required to, instruct its designated broker to\nmake purchases of Shares under the NCIB during the ensuing black-out period in\naccordance with the terms of the ASPP. Such purchases will be determined by\nthe broker in its sole discretion based on parameters established by MAXIM\nprior to commencement of the applicable black-out period in accordance with\nthe terms of the ASPP and applicable TSX rules. Outside of these black-out\nperiods, Shares will be purchasable by MAXIM at its discretion under the NCIB.\n\nManagement of the Corporation believes that, from time to time, the market\nprice of the Shares may not fully reflect the underlying value of the Shares\nand that at such times the purchase of Shares would be in the best interests\nof shareholders.  As a result of such purchases, the number of issued Shares\nwill be decreased and, consequently, the proportionate share interest of all\nremaining shareholders will be increased on a pro rata basis.\n\nThe NCIB follows the expiration of MAXIM's previous normal course issuer bid,\nunder which MAXIM had approval from the TSX to purchase up to 3,182,528\nShares, and which was effective from September 16, 2025 and expires on\nSeptember 15, 2026. As at August 31, 2026, under MAXIM’s previous normal\ncourse issuer bid, MAXIM completed the purchase of 306,425 Shares on the TSX\nand certain alternative trading systems at a weighted average price of $4.42\nper share.\n\nAbout MAXIM\nBased in Calgary, Alberta, MAXIM is one of Canada’s largest truly\nindependent power producers. MAXIM is now focused entirely on power projects\nin Alberta. Its core asset – the 300 MW H.R. Milner Plant, Milner 2, in\nGrande Cache, AB – is a state-of-the-art combined cycle gas-fired power\nplant that commissioned in Q4, 2023. MAXIM continues to explore additional\ndevelopment options in Alberta including its currently permitted gas-fired\ngeneration project and the permitting of its wind power generation project.\nMAXIM trades on the TSX under the symbol “MXG”.
