(NYSE: RITM, “Rithm” or the “Company”), a global\nalternative asset manager, today announced the closing of NRMLT 2026-RTL1, a\n$375 million securitization backed entirely by multifamily loans originated\nand serviced by its subsidiary, Genesis Capital, LLC (“Genesis” or\n“Genesis Capital”). The transaction represents both Genesis's first\nmultifamily-only securitization and the largest multifamily-only residential\ntransition loan (“RTL”) securitization completed to date.\n\nThe transaction builds on significant growth in Genesis’s multifamily loan\nbusiness. Quarterly multifamily loan originations nearly quadrupled,\nincreasing from approximately $160 million in the first quarter of 2024 to\n$637 million in the second quarter of 2026, and multifamily loans now\nrepresent approximately 40% of the platform’s outstanding commitments.\n\nNRMLT 2026-RTL1 is initially collateralized by a pool of 55 loans originated\nby Genesis and secured by real estate investor-owned properties. The\nunderlying loans finance bridge, construction, and renovation projects for\nreal estate investors, with the securitization accommodating loans of up to\n$35 million. The oversubscribed transaction includes a two-year reinvestment\nperiod, allowing principal repayments to be used to acquire additional\neligible loans and fund committed loan advances, subject to the\ntransaction’s eligibility criteria and other requirements.\n\n“This transaction reflects the strength of our owner-operator model,\nconnecting Genesis’s origination capabilities directly to the capital\nmarkets,” said Sanjeev Khanna, Managing Director at Rithm Capital. “As\ndemand grows among experienced multifamily investors for financing that scales\nwith their projects, this securitization structure gives Genesis greater\ncapacity to work with those investors and support them as their financing\nneeds evolve.”\n\n“This transaction enables us to keep growing with our borrowers as they take\non larger, more complex multifamily projects, including ground-up\nconstruction,” said Clint Arrowsmith, CEO of Genesis. “We believe the\nstrong investor demand for this deal reflects our disciplined underwriting and\nthe credit quality of our portfolio and positions us to keep expanding our\nsingle-family and multifamily securitization platform.”\n\nPerformance Trust Capital Partners served as lead bookrunner and structuring\nagent, alongside co-lead bookrunners Barclays, Deutsche Bank Securities,\nGoldman Sachs, Nomura, and Wells Fargo Securities. Rithm subsidiary Newrez LLC\nwill serve as master servicer.\n\nAbout Rithm Capital\n\nRithm Capital Corp. is a global alternative asset manager with significant\nexperience managing credit and real estate assets.
