Each investor is advised to make their own assessment of\nwhether it is appropriate to invest in the Company.\n\nThe rights issue in summary\n* Issue volume: The rights issue comprises a maximum of 20,122,461 Units,\ncorresponding to a maximum of 40,244,922 new shares and 20,122,461 warrants of\nseries TO 9. Upon full subscription, the Company will receive approximately\nSEK 60.4 million before issue costs.\n* Preferential rights: Anyone who is registered as a shareholder in Smoltek on\nthe record date of June 10, 2026 will receive one (1) unit right for each\nexisting share. Nine (9) unit rights entitle the holder to subscribe for one\n(1) Unit.\n* Unit: Each Unit consists of two (2) newly issued shares and one (1) warrant\nof series TO 9. The warrants are issued free of charge.\n* Subscription price: SEK 3.00 per Unit, corresponding to SEK 1.50 per share.\n* Warrants: Each warrant of series TO 9 entitles the holder to subscribe for\none (1) new share in the Company at a subscription price corresponding to 80\npercent of the volume-weighted average price of the Company's share during the\nperiod from and including January 18, 2027 to and including January 29, 2027,\nhowever, a minimum of SEK 1.75 and a maximum of SEK 2.50 per share.\nSubscription of shares with the support of the warrants shall take place\nduring the period from 1 February 2027 to 15 February 2027.\n* Subscription period: 12 June–26 June 2026.\n* Trading in unit rights: 12 June–23 June 2026.\n* Trading in paid subscribed Units: From 1 July 2026 to around week 28 2026,\nprovided that the Minimum Level in the Rights Issue is reached.\n* Minimum Level: The implementation of the Rights Issue is conditional on the\nsubscription, with or without support of unit rights, amounting to at least\n8,048,984 Units, corresponding to approximately 40 percent of the issue amount\n(“Minimum Level”).\n* Subscription commitments: The Company has received subscription commitments\ntotaling approximately SEK 15.4 million, corresponding to approximately 25.6\npercent of the Rights Issue.\n* Guarantee commitments: The Company has entered into agreements for guarantee\ncommitments totaling approximately SEK 36.2 million, corresponding to\napproximately 60 percent of the Rights Issue. Of these, approximately SEK 24.1\nmillion relates to a floor guarantee from 40 percent up to 80 percent of the\nRights Issue, while approximately SEK 12.1 million relates to a top guarantee\nfrom 80 percent up to 100 percent of the Rights Issue.\n* Over-allotment issue: In the event that the Rights Issue is oversubscribed,\nthe Board of Directors may decide on a directed issue of a maximum of\n6,036,738 Units to a limited number of investors (\"The over-allotment issue\").\nThe subscription price in the Over-allotment Issue, if implemented, shall be\nmarket-based and shall at least correspond to the subscription price in the\nRights Issue.\n* Estimated date for publication of results: Around June 29, 2026.\nChange in number of shares and share capital and dilution \nUpon full subscription of the Rights Issue, the number of shares in the\nCompany will increase by a maximum of 40,244,922 shares, from 181,708,215\nshares to 221,953,137 shares, and the share capital will increase by a maximum\nof approximately SEK 4,794,307.23, from approximately SEK 21,646,582.11 to\napproximately SEK 26,440,889.34, corresponding to a dilution of approximately\n18.1 percent of the capital and votes in the Company. Upon full exercise of\nall warrants of series TO 9 that can be issued within the framework of the\nRights Issue, the number of shares may increase by a maximum of an additional\n20,122,461 shares, to a total maximum of 242,075,598 shares, and the share\ncapital may increase by a maximum of approximately SEK 2,397,153.61, to a\ntotal maximum of approximately SEK 28,838,042.95. This corresponds to a\nfurther dilution of approximately 8.3 percent. The total dilution, assuming\nfull subscription in the Rights Issue and full exercise of all warrants of\nseries TO 9 that can be issued within the framework of the Rights Issue, thus\namounts to approximately 25.0 percent of the capital and votes in the Company.\n\nIn the event that the Rights Issue is fully subscribed and the Board decides\non the Over-allotment Issue, a maximum of 6,036,738 Units may be issued,\ncorresponding to a maximum of 12,073,476 additional shares and 6,036,738\nwarrants of series TO 9. This would mean that the number of shares in the\nCompany increases by a maximum of 12,073,476 additional shares and that the\nshare capital increases by a maximum of approximately SEK 1,438,292.10,\ncorresponding to a further dilution of approximately 5.2 percent of the\ncapital and votes in the Company. Upon full exercise of the warrants of series\nTO 9 issued within the framework of the Over-allotment Issue, the number of\nshares may increase by a maximum of 6,036,738 additional shares, corresponding\nto a further dilution of approximately 2.5 percent. The maximum dilution\neffect through the Rights Issue and the Over-allotment Issue thus amounts to\napproximately 22.4 percent excluding full exercise of all warrants of series\nTO 9, and to approximately 30.2 percent including full exercise of all\nwarrants of series TO 9.\n\nThe number of shares and the share capital above deviate from what was stated\nin the Company's press release on June 2, 2026 regarding the Rights Issue. The\nreason for this is that after the decision on, but before the record date of,\nthe Rights Issue, the Company has carried out a conversion of convertible\nloans of SEK 200,000 in accordance with the request from holders of the\nCompany's convertible loan 2024/2027 and the terms and conditions of the\nconvertible loan, which the Company announced by press release on June 4,\n2026. Through the conversion, 606,060 new shares were issued and the share\ncapital was increased by approximately SEK 72,199. In order to ensure that the\nnewly issued shares through the conversion do not affect the number of unit\nrights and consequently the maximum number of Units in the Rights Issue,\nGramtec Invest AB has refrained from receiving unit rights for 606,060 of its\nshares. The terms of the Rights Issue of a minimum of 8,048,984 Units and a\nmaximum of 20,122,461 Units remain unchanged.\n\nAdvisors\nRedeye Corporate Finance and Mangold Fondkommission are acting as financial\nadvisors and Fredersen Advokatbyrå are acting as legal advisors to the\nCompany in connection with the Rights Issue.
